Terms and conditions for using Brain Vault's agent-powered FraxUSD vault service

Welcome to Brain Vault, an agent-powered FraxUSD vault service operated by Distributed Machines Inc. ("Brain Vault," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of Brain Vault and related websites, apps, APIs, token-related features, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy (incorporated by reference).

Brain Vault integrates AI agents with decentralized finance ("DeFAI") to optimize yield strategies, rebalance positions, and provide analytics for FraxUSD-focused vaults. Brain Vault is an experimental DeFAI service. It is not a broker, exchange, custodian, or financial advisor.

1. Changes to Terms

We may update these Terms at any time in our sole discretion. If we make changes, we will update the "Last Revised" date above and may post an in-product notice for a reasonable period. If we make material changes, we will provide additional notice (e.g., banner, pop-up, or email). Changes to arbitration provisions will not apply to disputes of which we have actual notice on or before the date the changes are posted. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Service. If you are under the age threshold, you may not use the Service. If you are located in the European Economic Area, the United Kingdom, or another jurisdiction where the age of digital consent is higher, you must also meet that requirement for any online data processing. By using the Service, you represent and warrant that you meet these requirements.

3. Access and Use of the Service

Subject to these Terms, we grant you a non-exclusive, limited, non-transferable, revocable license to access and use the Service. You agree not to access the Service through any means other than the publicly supported interfaces and to comply with any usage limits or access controls we set. We reserve all rights not expressly granted herein and may terminate your access at any time.

3.A. APIs & Automation

Access to APIs or other automated endpoints requires our express consent and an API key. We may set or change rate limits, quotas, or scopes at any time. You must not share keys, rotate keys to evade limits, or attempt to circumvent rate limits or access controls.

4. Platform Description

Brain Vault provides tools and infrastructure to:

  • Automate vault management with AI-assisted strategy selection and rebalancing for FraxUSD-focused vaults.
  • Integrate with DeFAI protocols for analytics, monitoring, and operational signals.
  • Track performance with dashboards and on-chain telemetry.
  • Execute user-directed actions you initiate via your connected wallet.

Outputs (e.g., strategy explanations, analytics, signals) are editorial/educational/operational and may be inaccurate or incomplete; independently verify facts and parameters before acting.

5. Inputs, Outputs, and AI/ML Use

(a) Definitions. "Inputs" include prompts, data, and content you provide to the Service. "Outputs" are content generated by the Service/agents (e.g., explanations, analytics, suggested parameters). "Contributions" means other content you submit (e.g., comments, feedback).

(b) Your Rights & Licenses. You retain your rights in Inputs and Contributions. You grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, index, format, translate, adapt, reproduce, distribute, publicly display and perform, and otherwise use Inputs and Contributions as reasonably necessary to operate, improve, promote, and provide the Service.

(c) AI/ML Use of Data and Outputs. We may use Inputs, Outputs, and other Service data (including publicly available data) to develop, train, and evaluate algorithms and machine-learning models and to improve the Service. Outputs may be inaccurate, non-unique, or similar to content generated for others; verify important facts. Subject to applicable licenses, you receive a non-exclusive license to use Outputs for your lawful purposes. You may not (i) use Outputs to develop models that compete with the Service, (ii) reverse-engineer or probe our models or systems beyond normal use, or (iii) remove any notice or attribution embedded in Outputs where present. We retain rights in our Service, models, and algorithms.

(d) User Configuration. Strategy parameters you choose (e.g., thresholds, rebalance triggers) are your selections, and any resulting executions are your responsibility.

(e) Moderation & Editorial Rights. We may edit, annotate, refuse, or remove Contributions and restrict features for quality, security, or legal/policy reasons.

6. Wallets & On-Chain Interactions

A supported blockchain wallet connection is required for most features. We will never request or store private keys or seed phrases; you must never enter them on the Service. We may read publicly available on-chain data associated with addresses you connect (e.g., balances, positions, transactions) to provide features, consistent with our Privacy Policy.

Connections to third-party wallets are provided "as is." We do not custody assets, route trades, or execute transactions on your behalf. You authorize and sign all on-chain actions from your wallet. You are solely responsible for gas fees, slippage, chain selection, forks/reorgs, replay risk, approvals/allowances, and interacting only with contracts you trust. We are not responsible for losses arising from wallet compromises, malicious signatures, or protocol failures.

No Custody; No Insurance. Digital assets transacted via your wallet are not insured by the FDIC, FSCS, or other deposit insurers and may lose value.

7. Tokens & Risk Disclaimers

No financial advice; no securities. Mentions of cryptocurrencies, tokens, protocols, or DeFAI systems are editorial/operational in nature and not recommendations to buy, sell, or hold assets. Any tokens within the IQ AI ecosystem (if referenced) are designed for engagement/utility, not as investments; holding such tokens does not grant equity, dividends, profit-sharing, or corporate governance rights in Distributed Machines Inc. Nothing in the Service constitutes an offer to sell or a solicitation to buy any security or other financial instrument.

No Guaranteed Yield; Past Performance. Any APR/APY or performance figures are illustrative only and may differ materially from actual results. Past performance is not indicative of future results. Yields may be negative after fees, slippage, and network costs.

Stablecoin Risk. FraxUSD and other stablecoins may depeg from their target value due to market, collateral, oracle, governance, or regulatory events, which can result in partial or total loss.

Oracle/MEV/Bridge Risk. Strategies may depend on third-party oracles, cross-chain bridges, and public mempools. Oracle manipulation, MEV/front-running, bridge failures, congestion, or reorgs can cause unintended execution, failed transactions, or loss.

Third-Party Protocols. The Service may route you to or display integrations with third-party protocols. We do not control or endorse those protocols and are not responsible for their security, solvency, or performance. You choose whether to interact and do so at your own risk.

8. User Conduct & Prohibited Uses

You agree not to: (i) upload, post, or distribute malware, phishing, scams, or content intended to manipulate markets; (ii) impersonate any person or entity or misrepresent your affiliation; (iii) infringe intellectual property, privacy, or publicity rights; (iv) scrape, crawl, or use automated means to access the Service without our prior written permission (except via approved APIs); (v) interfere with or circumvent security features, access controls, or rate limits; (vi) use the Service to advertise or promote tokens or projects in a deceptive manner; (vii) coordinate or participate in manipulative trading, wash trading, or undisclosed promotional campaigns intended to influence market prices; (viii) use the Service to offer or solicit the sale of securities, or to facilitate unregistered securities offerings, in violation of applicable law; or (ix) violate any applicable law or regulation, including sanctions/export controls.

No Duty to Monitor; Content Standards. We do not undertake an obligation to monitor all content but may do so to operate the Service or enforce these Terms. We may publish or update Content Standards (e.g., reliability of sources, conflict-of-interest rules), and such standards are incorporated by reference.

9. Smart Contracts; Upgradability & Admin Controls

Interactions may involve smart contracts that could be upgradable or subject to admin keys, timelocks, or emergency pause mechanisms. Where applicable, we will disclose the current audit status and known upgrade/ownership controls of contracts we deploy or reference. Audits reduce, but do not eliminate, risk.

10. Fees & Performance Metrics

Platform fees (if any) will be disclosed before use. Blockchain network (gas) fees are your responsibility. We may modify platform fees with reasonable notice, unless prohibited by law. Unless required by law or stated otherwise at purchase, fees are non-refundable.

Performance Metrics. Where we display APR/APY, we will disclose calculation assumptions (e.g., compounding frequency, fee treatment, sample period) and whether figures are backtested, simulated, or real. Backtests and simulations have inherent limitations.

11. Copyright (DMCA), Trademark & Publicity

We comply with the Digital Millennium Copyright Act (DMCA).

Takedown Notices. Send notices meeting 17 U.S.C. §512(c)(3) to the Designated Agent.

Counter-Notice. If your content was removed in error, send a counter-notice under 17 U.S.C. §512(g) to the Designated Agent.

Repeat Infringers. We may terminate accounts of repeat infringers.

Trademark & Publicity Complaints. Email webmaster@iq.wiki with (i) your contact info, (ii) identification of the mark/persona and evidence of rights, (iii) specific URL(s), and (iv) a statement under penalty of perjury that your notice is accurate and you are authorized to act.

12. Intellectual Property & Branding

The Service (including models, algorithms, software, and look-and-feel) is owned by Distributed Machines Inc. and its licensors and is protected by intellectual property laws. Except as permitted by these Terms or applicable licenses to your own Inputs/Outputs, you may not use our trademarks or branding without prior written permission. Third-party names and marks are the property of their respective owners; no endorsement or affiliation is implied.

13. Privacy

Your use of the Service is subject to our Privacy Policy.

14. Disclaimers

The Service and agent Outputs may be inaccurate, incomplete, delayed, or unavailable. Analytics and dashboards may rely on third-party data that could be incorrect. Brain Vault provides the Service "as is" and "as available" and disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. You use the Service at your own risk.

No Financial/Investment, Legal, or Tax Advice. All content and Outputs are for informational and operational purposes only. You should conduct your own research and consult qualified professionals. No fiduciary duty or advisory relationship is created by your use of the Service.

15. Limitation of Liability

To the maximum extent permitted by law, Brain Vault and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or other intangible losses, arising out of or relating to your use of the Service. In no event will Brain Vault's aggregate liability to you exceed the greater of (i) US $100 or (ii) the amount you paid to Brain Vault, if any, in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify and hold harmless Brain Vault and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your Inputs/Contributions, your use or misuse of the Service, or your violation of these Terms or applicable law.

17. Jurisdictional Notices & Compliance

Users outside the United States may be subject to additional rights or obligations under local law. By using the Service, you are responsible for ensuring compliance with the laws and regulations applicable in your jurisdiction. You represent and warrant that you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive U.S. sanctions and that you will not use the Service in violation of U.S. or other applicable export, sanctions, or financial regulations. You further agree not to use the Service to transact with or on behalf of persons or wallet addresses identified on applicable sanctions lists. We may geo-block, IP-block, or wallet-block access to features to comply with sanctions, export controls, or financial-services restrictions.

Taxes. You are solely responsible for tax reporting and payment arising from your use of the Service (including rewards/yield) and for maintaining your own records.

Financial Promotions. Nothing on the Service constitutes a financial promotion, investment invitation, or solicitation where such communications require authorization (e.g., under UK FSMA or EU equivalents). We may restrict access in such jurisdictions.

18. Third-Party Links

The Service may contain links to third-party sites. We are not responsible for the content, products, or services on or available from those sites.

19. Notices — Single Point of Contact

We use a single contact address for all legal and policy matters: webmaster@iq.wiki. This address serves as our point of contact for DMCA notices and counter-notices, trademark/publicity complaints, security reports, arbitration opt-outs, and other legal notices. Communications may be sent in English. We may provide web forms for convenience, but email to this address is sufficient.

20. Security; Responsible Disclosure

Do not access non-public areas, test vulnerabilities, or disrupt the Service without prior written permission. If you comply with our Responsible Disclosure Policy, avoid service disruption, do not access personal data or non-public content beyond what is strictly necessary to demonstrate an issue, and provide us a reasonable time to remediate before any public disclosure, we will not pursue legal action or refer the matter to law enforcement for good-faith research. Report suspected security issues to webmaster@iq.wiki (include "Security Report" in the subject). We may use your report to improve the Service.

21. Modifications to the Service; Emergency Actions

We may modify, suspend, or discontinue the Service (in whole or in part) at any time, with or without notice. In emergencies (e.g., security incidents, extreme market conditions, protocol failures, or legal requirements), we may pause strategies, adjust parameters, or disable deposits/withdrawals without prior notice. You agree that we shall not be liable for such actions.

22. Termination

You may stop using the Service at any time. We may suspend or terminate your access and remove content if we believe you have violated these Terms, our policies, or applicable law, or to protect the Service or other users. Where required by law, we will provide notice. We may terminate accounts of repeat infringers. Upon termination, you remain responsible for revoking any on-chain approvals or allowances you previously granted.

23. Arbitration and Class Action Waiver (U.S. Consumers Only)

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. If you are a resident of the United States, you agree that any dispute with Brain Vault will be resolved through binding arbitration on an individual basis, not through jury trials or class actions. Arbitration will be conducted by the American Arbitration Association (AAA) under its applicable rules and governed by the laws of the State of Nevada, without regard to its conflict-of-law provisions. You waive any right to participate in class or representative proceedings to the extent permitted by law.

Small-Claims Carve-Out. Either party may bring an individual action in small-claims court of competent jurisdiction.

Opt-Out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing webmaster@iq.wiki with your full name and the email associated with your account, stating your unequivocal desire to opt out.

Venue/Format. Unless the parties agree otherwise, arbitration will be conducted by video conference or, if in person, in Clark County, Nevada.

Injunctive Relief. Either party may seek temporary or injunctive relief in a court of competent jurisdiction to protect intellectual property or prevent unauthorized use or access to the Service.

International/Consumer Carve-Out. If you are a consumer resident in the EEA/UK or in a jurisdiction where mandatory laws prohibit arbitration/class waivers for consumer disputes, this §23 does not deprive you of the protection of such mandatory laws; in that case, disputes will be resolved by the competent courts of your habitual residence.

24. Events Outside Our Control

Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters (for example, flood, earthquake, wildfire), public-health events (epidemic, pandemic), acts of government (embargoes, sanctions, changes in law), labor disputes, failures or delays of third-party hosting providers or the public Internet, power outages, or denial-of-service attacks. The affected party will use commercially reasonable efforts to mitigate the effects and resume performance and will notify the other party without undue delay. Payment obligations already due are not excused. If the event continues for more than 30 days, either party may suspend or terminate the affected services on notice.

25. Survival

Sections 1, 3, 3.A, 4–11, 12–17, 18–21, 22–27 survive termination.

26. Time to File Claims

To the fullest extent permitted by law, any claim arising out of or relating to the Service must be filed within one (1) year after the claim accrues; otherwise, the claim is permanently barred. This §26 does not limit any non-waivable statutory periods that apply to consumers.

27. Governing Language

These Terms were prepared in English, and the English version controls. Any translations are provided for convenience only.

28. Miscellaneous

These Terms constitute the entire agreement between you and Brain Vault regarding the Service and supersede any prior agreements. You may not assign these Terms without our consent; we may assign them without restriction. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce a provision is not a waiver. These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs §23; this is without prejudice to any mandatory consumer protection provisions of your habitual residence, where applicable.
